These terms and conditions of use (hereinafter referred to as "Terms of Use") describe the terms and conditions for the use of the "EtherCity Portal" application or any of its extensions, its contents, and other related products and services. By using EtherCity Portal, the user declares to understand and agree with all the Terms of use outlined herein, except for clauses pertaining to the sharing, processing, and storage of personal data by the platform, situations in which the user's consent will be expressly required.

ACCEPTANCE OF THESE TERMS

Upon completing the registration process on the website, the User declares to have read, understood, and accepted all the conditions established in these Terms. In case of disagreement with any of the provisions contained herein, it is recommended that the User does not use the Platform.

By accepting these terms and conditions, the User assumes, for all purposes, that they are legally capable of accepting the terms and conditions set forth herein and, therefore, are responsible for all acts they perform.

The User agrees to access and use this Platform in accordance with all applicable laws. The User's use of the Platform constitutes full legal acceptance of all provisions of these Terms. If you do not agree with these Terms, we advise not using this Platform.

The User acknowledges and accepts that EtherCity Portal may use their data and personal information in accordance with the Privacy Policy, which governs the collection, storage, and use of the User's data entered on the Platform and must also be duly observed by the User. The User agrees to the terms of the Privacy Policy, including the obligations and rights imposed therein.

USER REGISTRATION AND CONDUCT

To use EtherCity Portal services, it is necessary for the user to sign up, and any person, whether of legal age or a minor, can do so through their legal representative. If the user is a minor, all reasonable efforts will be made to verify that the minor's legal representative has consented to the sharing, processing, and storage of their personal data with the platform, in accordance with the technical capabilities available at the time of registration.

By registering on the website, the user agrees and guarantees that (i) the information provided about themselves is and will be truthful, accurate, complete, and up-to-date; (ii) they will not use information that could cause confusion, infringe upon the rights of third parties, of any nature, or that may be considered offensive, vulgar, or otherwise inappropriate. It is agreed that the modification or deletion of the information provided by the user that violates the conditions set forth in these Terms of Use may be required, following prior notification to the user, in accordance with applicable legal provisions.

EtherCity Portal may warn, suspend, permanently or temporarily cancel the EtherCity Portal account of any user who violates any provisions of these Terms of Use, at EtherCity Portal's sole discretion, upon prior notification to the user.

Under any circumstances involving the permanent cancellation of the user's account, whether initiated by the user themselves or by EtherCity Portal, the sharing, processing, and storage of their personal data will be terminated, within the specific scope of EtherCity Portal's operations.

EtherCity Portal clarifies that security measures, both technical and administrative, are adopted to protect the user's personal data from unauthorized access and from accidental or unlawful destruction, loss, alteration, communication, or any form of inappropriate or unlawful processing. We implement several security measures to safeguard your data, including: (i) Data encryption; (ii) Firewall-protected infrastructure; and (iii) Restricted server access via IP.

If the user forgets or loses their password or username, these details can be recovered by writing to hello@ethercity.tech and requesting a password reset.

Users are prohibited from attempting to reverse engineer, decompile, disassemble, adapt, or otherwise modify any components of EtherCity Portal or any systems provided on the Platform.

LIMITATIONS OF EtherCity Portal’S LIABILITY

EtherCity Portal does not guarantee that (i) it will always be free of errors; or (ii) it will be available uninterrupted. However, concerning the protection of users' personal data, EtherCity Portal ensures that appropriate and proportionate technical measures are adopted to prevent any breach or error that may occur on EtherCity Portal and threaten the security of such data.

EtherCity Portal does not assume responsibility (i) for any damages or harm caused to computers, data, or telecommunication systems as a result of using EtherCity Portal; and (ii) for any obligation or statement not expressly guaranteed by EtherCity Portal.

As a condition of using EtherCity Portal, the user agrees to indemnify and hold EtherCity Portal, its representatives, directors, partners, shareholders, employees, agents, service providers, and any third parties harmless from any claims, proceedings, losses, liabilities, damages, and expenses, including reasonable attorney's fees and court costs, arising out of or in connection with: (i) user's breach of any of the representations, warranties, and obligations set forth in these Terms of Use; (ii) any dispute, conflict, disagreement, or demand that a user claims to have with one or more other users; (iii) acts and omissions of the user, including conduct performed negligently or recklessly; and (iv) any use of EtherCity Portal under the user's passwords, even if such use was not authorized by the user, considering a scenario of the user's sole fault.

DURATION TERM AND CHANGES TO THE TERMS OF USE

These Terms of Use will remain valid for the entire period during which EtherCity Portal is operational.

The sharing, processing, and storage of user's personal data will remain effective until the user's account is canceled or EtherCity Portal ceases operations, whichever occurs earlier.

The user may, at any time and for any reason, terminate this agreement by simply requesting the cancellation of their accounts, by sending an email to hello@ethercity.tech

In any situation involving the permanent cancellation of a user's account, whether initiated by the user themselves or by EtherCity Portal, the sharing, processing, and storage of the user's personal data will be terminated, within the specific scope of EtherCity Portal's operations.

The termination of this agreement does not exempt the user from fulfilling any obligations incurred as a result of using EtherCity Portal.

Should the user have any outstanding balance due at the time of termination of this agreement, such balance will be paid in accordance with the established payment schedule.

These Terms of Use may be modified at any time. The modifications will automatically take effect on the date of publication of the new version on EtherCity Portal, always check the terms of use in case of changes.

In cases where the modification involves (i) the purpose of user data processing; (ii) the manner and duration of user data processing; (iii) EtherCity Portal's identification; and/or (iv) shared use of user data, we will notify you in advance and request your consent to continue providing and using EtherCity Portal. For other cases not related to user personal data processing, continued use of EtherCity Portal after the notification will constitute acceptance by the user of the modifications made.

GENERAL PROVISIONS

EtherCity Portal may modify, suspend, or discontinue EtherCity Portal (or any part thereof) at any time for any reason, at its sole discretion, with prior notice to the user.

These Terms of Use constitute the entire understanding between EtherCity Portal and the user regarding their subject matter, superseding all prior instruments, agreements, or contracts, whether verbal or written, entered into by the parties regarding the subject matter described herein prior to the date these Terms of Use became effective.

The user agrees that the invalidity or unenforceability of any provision contained in this document shall not affect the validity and enforceability of any other provision herein, and if any provision is deemed invalid or unenforceable in any way, the other provisions shall remain in effect, and this document shall be construed as if the invalidated or unenforceable provisions did not exist.

EtherCity Portal's failure at any time to require performance of any provision of these Terms of Use shall in no way affect its right to enforce such provision at a later time.
